Welcome to TubeMemo (“TubeMemo,” “we,” “us,” or “our”), a Chrome extension and macOS app that allows you to create and store summaries and notes while using YouTube. These Terms of Service (“Terms”) govern your access to and use of TubeMemo’s services, including our Chrome extension, macOS app, website, and any related features or content (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Services.
1. Eligibility
You must be at least 12 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
To access certain features of the Services, you may need to create an account by providing your name, email address, and other requested information. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and notify us immediately at contact@tubmemo.com if you suspect unauthorized access.
- Be responsible for all activities that occur under your account.
3. Use of the Services
A. Permitted Use
You may use the Services to create, store, and manage summaries and notes related to YouTube content, subject to these Terms. The Services are provided for personal, non-commercial use unless otherwise agreed in writing.
B. Prohibited Conduct
You agree not to:
- Use the Services for any illegal, unauthorized, or harmful purpose.
- Attempt to reverse-engineer, decompile, or hack the Services.
- Upload or share content that is unlawful, defamatory, obscene, or infringes on third-party rights (e.g., copyright, trademark).
- Interfere with the Services’ operation, including by introducing viruses or malicious code.
- Use automated tools (e.g., bots, scrapers) to access or extract data from the Services without permission.
- Share your account credentials with others or allow unauthorized access to your account.
4. User Content
You may create summaries, notes, or other content (“User Content”) through the Services. You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content as necessary to provide the Services.
You represent and warrant that your User Content does not violate any laws or third-party rights. We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.
5. Payments and Subscriptions
Certain features of the Services may require payment, such as subscriptions or one-time purchases, processed through our third-party payment provider, LemonSqueezy. By making a payment, you agree to:
- Provide accurate payment information.
- Pay all applicable fees, including taxes, as described at the time of purchase.
- Review LemonSqueezy’s terms and privacy policy for payment-related details.
Subscriptions may renew automatically unless canceled before the renewal date. Refunds are subject to our refund policy, contact us at team@tubmemo.com. We may change pricing at any time, with notice for existing subscribers.
6. Intellectual Property
The Services, including their design, code, and branding, are owned by TubeMemo or our licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal use, subject to these Terms. You may not copy, modify, distribute, or create derivative works from the Services without our written permission.
7. Third-Party Services
The Services may interact with third-party platforms, such as YouTube. Your use of these platforms is subject to their respective terms and privacy policies. We are not responsible for the content, availability, or practices of third-party services.
8. Termination
You may stop using the Services at any time by deleting your account or uninstalling the Chrome extension/macOS app. We may suspend or terminate your access to the Services if you violate these Terms, engage in prohibited conduct, or for any other reason at our discretion.
Upon termination, your license to use the Services ends, and we may delete your User Content and account data, subject to our Privacy Policy. Sections of these Terms that by their nature survive termination (e.g., Intellectual Property, Limitation of Liability) will continue to apply.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, TubeMemo and its affiliates, officers, directors, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, profits, or business opportunities. Our total liability for any claim will not exceed the amount you paid us for the Services in the 12 months prior to the claim.
11. Indemnification
You agree to indemnify and hold harmless TubeMemo and its affiliates, officers, directors, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Services will be resolved through binding arbitration in California, conducted by a single arbitrator under the rules of the American Arbitration Association. You waive any right to participate in a class action or similar proceeding.
Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.
13. Changes to These Terms
We may update these Terms to reflect changes in the Services or legal requirements. We will notify you of significant changes via email, in-app notifications, or by posting a notice on our website at least 30 days before they take effect. Your continued use of the Services after the changes constitutes acceptance of the updated Terms.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TubeMemo regarding the Services.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger or sale.
